1. Acceptance of Terms

By registering, accessing, or using an SCMB Seller or Vendor Account, you agree to comply with these Terms and Conditions, applicable SCMB policies, and the laws of Bangladesh.

Users must read and accept these terms before their accounts are activated.

SCMB reserves the right to approve, reject, suspend, or terminate seller accounts in accordance with these terms.

2. Seller Registration and Verification

To register as a seller or vendor, applicants must:

- Be at least 18 years old.
- Provide accurate personal or business information.
- Submit a valid National ID, passport, or other approved identification.
- Provide a valid mobile number and contact address.
- Provide payment account information when required.
- Complete any required SCMB verification or training.

Business vendors may additionally be required to provide a trade licence, tax information, and other applicable business registrations.

Providing false or misleading information may result in rejection or suspension of the account.

3. Types of Seller Accounts

SCMB may offer the following types of accounts:

**A. Affiliate Seller**

An independent seller who promotes approved products or services through SCMB and receives commissions from qualifying sales.

**B. Vendor / Merchant**

An approved business or individual authorized to list and sell their own products or services through the SCMB marketplace.

**C. Authorized Sales Representative**

A seller specifically authorized by SCMB to perform defined marketing, customer support, or sales-related activities.

Account-specific permissions, responsibilities, fees, and commission arrangements will be displayed or agreed separately.

 4. Independent Seller Relationship

SCMB sellers operate as independent business participants.

Registration as a seller does not establish an employer–employee relationship, business partnership, franchise, agency, shareholding, or ownership interest in SCMB.

Sellers are not entitled to a fixed salary, employee benefits, or guaranteed income unless separately agreed in writing.

Sellers cannot enter into agreements, collect unauthorized payments, or make commitments on behalf of SCMB.

5. Seller Account Responsibilities

Every seller must:

1. Maintain accurate registration and profile information.
2. Keep login credentials secure.
3. Use the account only for legitimate business purposes.
4. Follow SCMB's approved selling procedures.
5. Communicate honestly and respectfully with customers.
6. Avoid misleading advertising or false product claims.
7. Maintain the confidentiality of customer information.
8. Cooperate in resolving customer complaints and disputes.
9. Follow all applicable laws and platform policies.

Selling privileges are personal to the approved account holder and may not be transferred without SCMB's authorization.

## 6. Product Listings and Approval

Only products and services permitted by SCMB may be listed or promoted.

Affiliate sellers may promote products available in their approved SCMB catalog.

Vendors listing their own products must ensure that:

- Product descriptions and photographs are accurate.
- Prices and specifications are correct.
- Stock availability is regularly updated.
- Products are genuine, legal, and safe.
- Necessary licences or approvals are maintained.
- Product information does not infringe third-party rights.

SCMB may review, reject, edit for accuracy, temporarily hide, or remove listings that violate its policies or applicable law.

 7. Product Pricing

Sellers must follow the prices displayed on the SCMB platform unless authorized to offer different prices.

Sellers may not:

- Charge customers unauthorized additional fees.
- Misrepresent discounts or promotional offers.
- Promise unavailable products.
- Publish misleading prices or delivery charges.

Vendors may propose prices for their products, subject to their merchant agreement and platform requirements.

SCMB will disclose applicable platform fees and deductions to vendors.

8. Sales Commission

Eligible affiliate sellers will earn commissions according to the applicable commission rate displayed in their seller dashboard or agreed in writing.

Commission rates may vary by product, category, or service.

Commission entitlement is subject to the following conditions:

- The sale is attributed to the seller under SCMB's tracking rules.
- The order is genuine and successfully completed.
- Payment is received and verified.
- Applicable cancellation, refund, and return adjustments are completed.

No commission will ordinarily be payable for fake, cancelled, completely refunded, or fraudulent transactions.

For partially refunded orders, commissions may be adjusted proportionately.

SCMB may revise future commission rates with advance notification. Changes will not retroactively reduce commissions already earned under the applicable terms.

9. Payments and Withdrawals

Commissions and vendor settlements will be processed through SCMB-approved payment methods.

Payments may be made through bank transfers or supported mobile financial services.

All payments are subject to account verification, completed transactions, applicable deductions, and published settlement procedures.

The payment schedule, minimum withdrawal amount, and any transaction fees must be communicated before withdrawal.

SCMB may temporarily withhold disputed or suspicious amounts where reasonably necessary for verification, fraud prevention, or compliance with applicable law.

Legitimately earned amounts must be settled in accordance with the applicable agreement and laws.

 10. Order Management

Sellers are responsible for submitting genuine, complete, and accurate order information.

Sellers must not:

- Create fake orders.
- Manipulate order quantities or commission records.
- Claim orders generated by another seller.
- Intentionally submit duplicate orders.
- Mislead customers regarding confirmation or delivery.
- Manipulate affiliate links, tracking codes, or referral attribution.
